The structure being used is that of a Holding Company that holds the relevant IP, and in turn, licenses that IP to an Operations Company, whose job is to implement and market the IT in the designated market.
An example is that of IOMAT and Intention One Enterprises.
Generally IntentionOne will hold a minimum of 51% of the Holding Company.
The procedure followed in each venture is to determine which of the participating parties will perform which of the necessary functions, and hence determine the relevant shareholdings in each of the two companies.
