Role of IntentionOne

Provision of Technology

IntentionOne has associations, created over a long period of time, with world renowned scientists and laboratories who specialise in this area. The use of these assets plus those “in house” ensures that IOMAT remains at the cutting edge of its science.

Provision of Technical Personnel whose work will include:

• Training of Reseller Personnel on technical aspects of the product.
• Provision of staff to conduct regional seminars to end- users. It has been found that these seminars are a great medium for marketing the product with a take-up rate of approx. 60%.

Soil Testing

IntentionOne will carry out the appropriate soil testing and provide the necessary analysis so as to formulate the mix of minerals for the appropriate part of the growers property.

Provision of specially selected suppliers (“Contracted Suppliers”)

As part of the development of the technology supporting IOMAT, IntentionOne has identified a panel of suppliers who are deemed the best to support the programme. The continuous monitoring of these Contracted Suppliers is an important part of the on going Research and Development Programme of IntentionOne.

Continuous Research and Development.

IntentionOne will continue its Research and Development Programme and provide updates to the Reseller as appropriate.

Continuous and innovative marketing.

Apart from a regional seminar programme there is currently a short series of television documentaries under development.

Government support is being sought, as this product is of importance to the health of the nation and therefore of national as well as state importance.

Role of Reseller

Service the end user. This will involve;

Conferring with IntentionOne on the results of the samples. At this point IntentionOne will determine the correct mix of minerals and arrange their production by the Contracted Suppliers.

Purchase the minerals from the Contracted Suppliers.

Deliver the minerals to the Customers.

A monthly Royalty Fee will be payable by the Reseller to IntentionOne. Such fee will be calculated as a dollar amount per tonne of minerals ordered from the Contracted Suppliers.

All mineral products will be marketed, sold and delivered under the brand name IOMAT.

The Deal

Reseller will purchase an exclusive territory for an agreed period for an amount to be determined depending on the territory.

The general obligations of IntentionOne are outlined at 4.1 above.

The general obligations of Reseller are outlined at 4.2 above.

There will be a right of break by either party based on under performance.

IntentionOne and Reseller will mutually respect each other’s rights and work to actively and co-operatively promote mineral agriculture and the IOMAT brand. Special consideration will be given to promoting the good health in both humans and animals that emanates from the consumption of better food produced as a result of IOMAT.

Confidentiality will be mutually assured.

Reseller will undertake a media marketing campaign. Its form and content will be subject to prior approval of IntentionOne.
